NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW. 

IMPORTANT: PLEASE READ THESE OFFICIAL RULES, WHICH ARE A CONTRACT, CAREFULLY BEFORE TAKING ANY STEPS TO PARTICIPATE. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SPONSOR FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES. BY PARTICIPATING, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES AND REPRESENT THAT YOU SATISFY ALL OF THE ELIGIBILITY REQUIREMENTS. 

SWEEPSTAKES OVERVIEW: The HubSpot Sweepstakes is sponsored by HubSpot, Inc. 25 First Street, Cambridge, MA 02141 (“Sponsor”). Sweepstakes begins on November 8, 2022 at 12:00:00 pm Eastern Time (“ET”) and ends at 11:59:59 pm ET on December 31, 2022 (“Sweepstakes Period”). These Official Rules (“Official Rules”) govern participation in the Sweepstakes. Businesses (defined below) who satisfy the eligibility requirements (described below), may enter the Sweepstakes by completing a registration form and connecting their HubSpot and Facebook Ads accounts during the Sweepstakes Period, all as described below. After the Sweepstakes Period, five (5) winners will be selected in a random drawing as more fully described below. 

Limit one (1) entry per business, regardless of entry method used. Sponsor’s site clock will be the official timekeeper for entry into the Sweepstakes. Those who do not complete entry information or abide by these Official Rules and other instructions of Sponsor and its representatives may, in Sponsor’s sole discretion, be disqualified and the associated entry void. Attempts made by a participant to enter this Sweepstakes in violation of these Official Rules by using multiple or false contact information or otherwise may be disqualified. Purported entries that are forged, altered, incomplete, incorrect, lost, late, misdirected, mutilated, illegitimate, unintelligible, garbled, or generated by a macro, bot, or other automated means will not be accepted and will be void. Entries or participation made on a participant’s behalf by any other individual, made by any entity or group, or originating anywhere other than the entry method described in these Official Rules will be declared invalid and disqualified for the Sweepstakes. 

ELIGIBILITY: Entry and participation in this Sweepstakes is open only to business entities that are, as of the date of the Sweepstakes Period and through the time of prize fulfillment, legally formed or recognized by a jurisdiction within the 50 United States (excluding New York and Florida) or DC (each, a “Business”). The individual entering on behalf of the Business must be at least eighteen years of age and the age of majority in their jurisdiction of residence, be a resident of one of the 50 United States (excluding New York and Florida) or DC, and have authorization to enter the Business into the Sweepstakes. To enter the Sweepstakes, the Business must have HubSpot and Facebook ads accounts in good standing. You are not eligible to participate or receive a prize if you are the target of any trade sanctions administered or enforced by the U.S., EU, United Nations, or UK or acting on behalf of a Business that is a target of any trade sanctions administered or enforced by the foregoing. Businesses or organizations politically affiliated (all as determined by Sponsor in its sole discretion) are not eligible to participate in the Sweepstakes. 

HOW TO ENTER: Eligible Businesses can enter by (1) completing a registration form on the Sweepstakes Site at www.hubspot.com/meta-hubspot-sweepstakes including business name, contact name, contact email, company size; and (2) connecting their Facebook ads account to their HubSpot account before the end of the Sweepstakes Period. Successful completion of steps 1-2 above constitutes an “Entry”. To learn how to create a free Facebook ad account please visit the Meta Business Help Center or log into your account here. Creation of a Facebook Ads account requires agreement to the Meta Terms of Service and the Meta Commercial Terms. You can create a free HubSpot account here. Creation of a HubSpot account requires agreement to the HubSpot Customer Terms of Service. 

ALTERNATIVE MEANS OF ENTRY: In lieu of an online entry, you may enter the Sweepstakes by mailing a standard-size postcard with your name and business email address, business name and company size to: HubSpot + Meta “Connect to Win” Entries, c/o HubSpot, Inc., 25 First Street, Cambridge, MA 02141. Postcard entries must be postmarked during the Sweepstakes Period and received by Sponsor no later than January 7, 2023 to be included in the random drawing. Entrants who submit an entry via postcard will receive the number of Entries available to those entering via the Sweepstakes Site.

WINNER SELECTION/NOTIFICATION: The winners of the prize detailed in the “Prize, Odds, & Approximate Retail Value” section below will be selected in a random drawing from among all eligible entries received, subject to verification. The drawing will be held on or about January 31, 2023, when Sponsor will attempt to notify the potential winners that they may have won a prize by email or using other contact information in Sponsor’s sole discretion. Prize or prize elements will only be emailed or mailed, where applicable, to Business’ principal place of business in the 50 United States (excluding New York and Florida) or DC. If any prize, prize notification, or Sweepstakes-related communication is rejected, faulty, or undeliverable; if potential winner does not respond according to the notification’s or Sponsor’s instructions; or if winner or potential winner fails to comply with these Official Rules, the prize(s) may, in Sponsor’s sole discretion, be forfeited and winner(s) may be selected (time permitting) based on the original method of winner selection or other method that is fair in Sponsor’s sole discretion. Sponsor is not obligated to pursue more than three (3) alternate winners for any prize for any reason, in which case such prize may go un-awarded. Sponsor reserves the right to modify the notification procedures and applicable deadlines for responding in connection with the selection of any alternate potential winner, if any. Upon prize forfeiture or inability to use a prize or portion thereof, no compensation will be given, and Sponsor will have no responsibility or liability to that participant. 

To claim a prize, winners must follow the directions in their notification. Winners may, in Sponsor’s sole discretion, be required to complete, sign, notarize (if applicable), and return, without alteration and in the form presented by Sponsor, a Winner’s Declaration and Release form and a W9 tax form (collectively, the “Winner Documents”) according to Sponsor’s instructions within seven (7) days from when Sponsor sends the Winner Documents or other time frame as specified by Sponsor or its representative. Failure to comply with these requirements, Sponsor’s instructions, or these Official Rules may, in Sponsor’s sole discretion, result in disqualification from the Sweepstakes and forfeiture of any prize potentially won. The Winner Documents, if required, are each subject to verification by Sponsor and may require the participant to provide government identification number and/or a copy of government-issued identification card or number therefrom. Forms may be issued as appropriate in Sponsor’s sole discretion. Decisions of the Sponsor are final on all matters relating to the Sweepstakes, including interpretation of these Official Rules, determining the winners, and awarding of the prize. 

PRIZE, ODDS & APPROXIMATE RETAIL VALUE (“ARV”): A total of five (5) prizes will be awarded. Each winner will receive a check in the amount of $15,000. Total ARV of all prizes: $75,000.00 USD. Sponsor may, at its sole discretion, offer winners who do not currently have a paid subscription an offer for 50% off their first year of Marketing Hub Pro service; provided, however, in no event will this be considered part of the prize. 

Odds of winning a prize depend on the number of eligible entries received. Prizes are awarded to the winning Businesses and not the individuals who entered on the Businesses’ behalf. All prize details not specifically stated in these Official Rules will be determined by Sponsor in its sole discretion. All taxes (federal, state, and local), as well as any expenses not specified in these Official Rules as being provided as part of the prize, are the sole responsibility of winners. Sponsor is not responsible for and will not replace any lost, mutilated, or stolen prize, or any prize that is undeliverable or does not reach a winner because of incorrect or changed contact information. If winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited and Sponsor will have no further obligation with respect to that prize or portion of the prize. Sponsor is not responsible for any inability of any winner to accept or use any prize (or portion thereof) for any reason. Winners are strictly prohibited from selling, auctioning, trading, or otherwise transferring any part of a prize, except with Sponsor’s permission, which may be granted or withheld for any reason in its sole discretion. No transfers, prize substitutions, or cash redemptions will be made, except at Sponsor’s sole discretion. Sponsor reserves the right to substitute the stated prize or portion thereof with another prize or portion thereof of equal or greater value for any reason, including, without limitation, prize unavailability. No more than the stated prize will be awarded. Participants waive the right to assert as a cost of winning any prize, any and all costs of verification, redemption, or claiming the prize and any liability and publicity that might arise from claiming or seeking to claim a prize. 

LIMITATION OF LIABILITY & DISCLAIMER OF WARRANTIES: TO THE MAXIMUM EXTENT PERMITTED BY ANY MANDATORY PROVISIONS OF APPLICABLE LAW, META PLATFORMS, INC., SPONSOR, ITS PARENT AND SUBSIDIARY COMPANIES, AFFILIATES, DIVISIONS, REPRESENTATIVES, CONSULTANTS, SUB-CONTRACTORS, SUPPLIERS, DISTRIBUTORS, LEGAL COUNSEL, PRIZE PROVIDERS, SWEEPSTAKES ADMINISTRATORS, ADVERTISING, PUBLIC RELATIONS, PROMOTIONAL, FULFILLMENT AND MARKETING AGENCIES (COLLECTIVELY, THE "RELEASED PARTIES") EXCLUDE FROM THESE OFFICIAL RULES ALL CONDITIONS, WARRANTIES, AND TERMS IMPLIED BY STATUTE, GENERAL LAW, OR CUSTOM.

EACH BUSINESS AND INDIVIDUAL ENTERING ON BEHALF OF A BUSINESS AGREES TO RELEASE, HOLD HARMLESS, AND INDEMNIFY (I.E., DEFEND AND/OR REIMBURSE) THE RELEASED PARTIES FROM ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE USE, ACCEPTANCE, POSSESSION, MISUSE, OR AWARDING OF A PRIZE OR WHILE PREPARING FOR, PARTICIPATING IN, AND/OR TRAVELING TO OR FROM ANY SWEEPSTAKES- OR PRIZE-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY (HOWEVER (BUT ONLY IF REQUIRED BY LAW IN YOUR JURISDICTION), THIS RELEASE, HOLD HARMLESS, AND INDEMNIFICATION COMMITMENT DOES NOT APPLY TO CASES OF BODILY INJURY OR LOSS OF LIFE OR TO THE EXTENT THAT ANY DEATH OR PERSONAL INJURY IS CAUSED BY THE NEGLIGENCE OF RELEASED PARTIES OR OTHER THIRD PARTY, WHERE LIABILITY TO THE INJURED PARTY CANNOT BE EXCLUDED BY LAW). EACH WINNER AGREES THAT THE PRIZE IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION, OR GUARANTEE (EXPRESS OR IMPLIED, IN FACT OR IN LAW), WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE, BEYOND ANY NON-EXCLUDABLE GUARANTEES. 

ADDITIONAL DISCLAIMERS: The Released Parties are not responsible and/or liable for any of the following, whether caused by a Released Party, the participant, or by human error: entries that are submitted by illegitimate means (such as, without limitation, by an automated computer program) or entries in excess of any stated limit; any lost, late, incomplete, illegible, unintelligible, garbled, mutilated, or misdirected entries, email, mail, or Sweepstakes-related correspondence or materials; any error, omission, interruption, defect or delay in transmission or communication; viruses or technical or mechanical malfunctions; interrupted or unavailable cable or satellite systems; errors, typos, or misprints in these Official Rules, in any Sweepstakes-related advertisements, or other materials; failures of electronic equipment, computer hardware, or software; lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications or entry information. Released Parties are not responsible for electronic communications that are undeliverable or do not reach participant as a result of any form of active or passive filtering of any kind, or insufficient space in a participant’s email account to receive email messages. Released Parties are not responsible, and may disqualify you, if your email address or other contact information does not work or is changed without prior written notice to Sponsor. Without limiting any other provision in these Official Rules, Released Parties are not responsible or liable to any participant or winner or any person claiming through such participant or winner for failure to supply the prize or any part thereof in the event that any of the Sweepstakes activities or Released Parties’ operations or activities are affected, as determined by Sponsor in its sole discretion, including, without limitation, by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any law, rule, regulation, order or other action adopted or taken by any governmental, federal, state or local government authority, or any other cause, whether or not specifically mentioned above. 

GENERAL RULES: By entering the Sweepstakes (except where prohibited by law), each participant grants the Released Parties the irrevocable, sublicensable, absolute right and permission to use, publish, post or display his or her name, photograph, likeness, voice, prize information, biographical information, any quotes attributable to him or her, any other indicia of persona, and any information contained in or submitted as part of their entry (regardless of whether altered, changed, modified, edited, used alone, or used with other material in the Released Parties’ sole discretion) for advertising, trade, promotional and publicity purposes without further obligation or compensation of any kind to him or her, anywhere, in any medium now known or hereafter discovered or devised (including, without limitation, on the Internet), world-wide, without any limitation of time, and without notice, review, or approval and each participant releases all Released Parties from any and all liability related thereto. Nothing contained in these Official Rules obligates Sponsor to make use of any of the rights granted in these rules and winner waives any right to inspect or approve any such use. 

Sponsor’s decisions will be final in all matters relating to this Sweepstakes, including interpretation of these Official Rules, determination of any winner, and awarding of any prize. All participants, as a condition of entry in the Sweepstakes, agree to be bound by these Official Rules and the decisions of Sponsor. Failure to comply with these Official Rules may result in disqualification from the Sweepstakes. Participants further agree to not damage or cause interruption of the Sweepstakes and/or prevent others from participating. Sponsor reserves the right to restrict or void entries or participation if any suspicious entry

and/or participation is detected. Sponsor reserves the right, in its sole discretion, to void entries of any participants who Sponsor believes have attempted to tamper with or impair the administration, security, fairness, or proper play of the Sweepstakes. Sponsor’s failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that, or any other, provision. In the event there is an alleged or actual ambiguity, discrepancy, or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials and/or these Official Rules (including any alleged discrepancy in these Official Rules), it will be resolved by Sponsor in its sole discretion. Participants waive any right to claim ambiguity in any Sweepstakes materials or these Official Rules. If Sponsor determines, at any time and in its sole discretion, that a winner or potential winner is disqualified, ineligible, in violation of these Official Rules, or engaging in behavior that Sponsor deems obnoxious, inappropriate, threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to disqualify that winner or potential winner, even if the disqualified winner or potential winner may have been notified or displayed or announced anywhere. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their collective terms as if the invalid or illegal provision were not contained herein. If the Sweepstakes is not capable of running as planned for any reason, Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Sweepstakes and award the prize from eligible entries received prior to cancellation, modification, or suspension or as otherwise deemed fair and appropriate by Sponsor. If any person supplies false information, obtains entries by fraudulent means, or is otherwise determined to be in violation of these Official Rules in an attempt to obtain any prize, Sponsor may disqualify that person and seek damages from him or her and that person may be prosecuted to the full extent of the law. In the event of a dispute concerning who submitted a registration, the participant will be declared to be the registered account holder of the email address provided to earn the entry, but only if that person meets all other eligibility criteria, otherwise the entry may, in Sponsor’s sole discretion, be disqualified and any potential prize won forfeited. A registered account holder is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Winner may be required to show proof of being the registered account holder. If a dispute cannot be resolved to Sponsor’s satisfaction, in its sole discretion, the entry will be deemed ineligible. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR TO UNDERMINE THE LEGITIMATE OPERATION OF A SWEEPSTAKES VIOLATES CRIMINAL AND CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY PARTICIPANT MAKING SUCH ATTEMPT AND MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW. 

PRIVACY: By participating, you consent to the collection, storage, processing, and transmission of your submitted personal data by Sponsor and its affiliated companies for the purposes of conducting this Sweepstakes. The personal data collected is subject to applicable data protection laws and HubSpot’s Privacy Policy at (https://legal.hubspot.com/privacy-policy). As a condition of participating in the Sweepstakes, without limiting any other provision in these Official Rules, each Business and individual entering on behalf of the Business gives consent for Sponsor to obtain and entrant information for the purpose of administering this Sweepstakes and complying with applicable laws, regulations, and rules. 

DISPUTES/GOVERNING LAW: Except where prohibited, as a condition of participating in this Sweepstakes, each Business and individual entering on behalf of a Business agrees that any and all disputes that cannot be resolved between the participant and any Released Party, claims and causes of action arising out of or connected with this Sweepstakes, or the prize awarded, or the determination of a winner must be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will a participant be permitted or entitled to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than participant’s actual out-pocket expenses (if any), not to exceed $10.00 USD (or local currency equivalent), and participant further waives all rights to have damages multiplied or increased. 

THE SWEEPSTAKES, THESE OFFICIAL RULES, AND ANY DISPUTE ARISING UNDER OR RELATED THERETO (WHETHER FOR BREACH OF CONTRACT, TORTIOUS CONDUCT OR OTHERWISE) WILL BE GOVERNED, CONSTRUED, AND INTERPRETED UNDER THE LAWS OF THE COMMONWEALTH OF MASSACHUSETTS, USA WITHOUT REFERENCE OR GIVING EFFECT TO ITS CONFLICTS OF LAW PRINCIPLES OR RULES THAT WOULD CAUSE THE APPLICATION OF ANY OTHER JURISDICTION’S LAWS. ANY LEGAL ACTIONS, SUITS, OR PROCEEDINGS RELATED TO THIS SWEEPSTAKES (WHETHER FOR BREACH OF CONTRACT, TORTIOUS CONDUCT, OR OTHERWISE) WILL BE BROUGHT EXCLUSIVELY IN THE COURTS IN OR WITH JURISDICTION

OVER BOSTON, MASSACHUSETTS, USA AND EACH PARTICIPANT IRREVOCABLY ACCEPTS, SUBMITS, AND CONSENTS TO THE EXCLUSIVE JURISDICTION AND VENUE OF THESE COURTS WITH RESPECT TO ANY LEGAL ACTIONS, SUITS, OR PROCEEDINGS ARISING OUT OF OR RELATED TO THIS SWEEPSTAKES. YOU WAIVE ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMIT TO THE JURISDICTION OF THOSE COURTS.
